GENERAL TERMS AND CONDITIONS OF SALE FOR CONSUMERS
Neoderma Switzerland GmbH
Version 1.0 — effective 30 September 2026
Article 1 — Scope and definitions
1.1 These General Terms and Conditions of Sale ("Terms") apply to every offer made by Neoderma Switzerland GmbH ("Neoderma", "we", "us") on the website www.neoderma.com (the "Website") and to every contract concluded between Neoderma and a Consumer through the Website.
1.2 "Consumer" means a natural person who orders Products for purposes that are outside their trade, business, craft or profession. Orders placed by professionals, resellers or businesses are governed by separate terms and conditions for professionals, not by these Terms.
1.3 "Products" means the cosmetic products and accessories offered for sale on the Website.
1.4 "Order Confirmation" means the automated email acknowledging receipt of an order. "Shipping Confirmation" means the email informing the Consumer that the Products have been dispatched.
1.5 "Durable medium" means any means, including email, that enables the Consumer to store information addressed personally to them in a way accessible for future reference and allowing unchanged reproduction.
1.6 Terms and conditions of the Consumer that deviate from these Terms do not apply.

Article 3 — Products and intended use
3.1 The Products are cosmetic products within the meaning of the applicable Swiss and European cosmetics legislation. They are intended for external application to the skin for cleansing, care and protection. They are not medicinal products and are not intended to diagnose, treat, cure or prevent any disease or medical condition.
3.2 Information on the Website, including descriptions, ingredient lists, usage instructions and articles, is provided for general information. It does not constitute medical, dermatological or other professional advice. Consumers with a known skin condition, allergy or sensitivity, or who are pregnant or breastfeeding, should consult a physician or pharmacist before use.
3.3 The full list of ingredients of each Product is stated on its packaging and on the Website. Before first use, Neoderma recommends applying a small quantity to a discreet area of skin and waiting 24 hours. Use must be discontinued if irritation occurs.
3.4 Product images on the Website are illustrative. Colours may vary according to the display used. During packaging transitions the Consumer may receive either the previous or the current packaging; the formulation is identical.
3.5 The Website is intended for Consumers who are at least 18 years old.
Article 4 — Ordering and conclusion of the contract
4.1 The presentation of Products on the Website is an invitation to the Consumer to place an order; it is not a binding offer by Neoderma.
4.2 The Consumer places an order by adding Products to the basket, entering delivery and payment details, reviewing the order summary and clicking the button that completes the order. Before completing the order the Consumer can identify and correct input errors at each step by returning to the previous page or editing the basket.
4.3 By completing the order the Consumer makes a binding offer to purchase the Products in the basket at the price and on the conditions displayed. Neoderma sends an Order Confirmation by email without delay. The Order Confirmation acknowledges receipt of the order and does not constitute acceptance.
4.4 The contract is concluded when Neoderma sends the Shipping Confirmation or dispatches the Products, whichever occurs first. Neoderma may decline an order, in particular where a Product is unavailable, where the order is placed for resale, where there are reasonable grounds to suspect fraud, or where a previous order remains unpaid. If Neoderma declines an order or part of it, any amount already charged for the declined part is refunded within 14 days.
4.5 These Terms are made available to the Consumer before the order is completed in a form that can be stored and reproduced, and are sent again with the Order Confirmation. Neoderma stores the text of the contract; the Consumer can request a copy at contact@neoderma.ch.
4.6 The contract is concluded in the language in which the Consumer completed the order. These Terms are available in English, German and French. In case of divergence, the English version prevails.
Article 5 — Prices, currency and taxes
5.1 Prices are displayed in the currency of the Consumer's selected market: Swiss francs (CHF) for Switzerland and Liechtenstein, euros (EUR) for the European market and US dollars (USD) for the United States and other countries. The currency is shown in the basket and at checkout and cannot be changed after the order is completed.
5.2 Prices include value added tax at the rate applicable in the country of delivery where Neoderma is required to charge it. Delivery costs are shown separately in the basket and at checkout before the order is completed and are included in the total price stated there.
5.3 Prices valid at the moment the order is completed apply. Neoderma may change prices at any time for future orders.
5.4 If a price displayed on the Website is obviously incorrect and the Consumer could reasonably have recognised the error, Neoderma is not bound by the incorrect price. Neoderma will inform the Consumer and offer the Product at the correct price; the Consumer may then confirm or cancel the order without cost.
Article 6 — Payment
6.1 Payment is made by the methods offered at checkout. Neoderma may add or withdraw payment methods at any time for future orders.
6.2 The full price is charged when the order is completed. Where a payment method allows it, Neoderma may instead authorise the amount at order and capture it on dispatch. If the contract is not concluded under Article 4.4, the amount charged is refunded to the same payment method.
6.3 Neoderma may carry out fraud and credit checks through its payment service providers before accepting an order and may decline an order if a check gives reasonable grounds for concern.
Article 7 — Delivery
7.1 Neoderma delivers to the countries listed on the Website at the time of ordering. Delivery is made to the delivery address stated by the Consumer. Post office boxes are not accepted unless the checkout permits them.
7.2 Products are dispatched from Neoderma's fulfilment centre within the European Union. The expected delivery period for each destination is shown at checkout and in the Shipping Confirmation. Delivery periods are estimates and run from the date of the Shipping Confirmation. Unless otherwise agreed, Neoderma delivers within 30 days of the conclusion of the contract.
7.3 If Neoderma cannot deliver within the period stated, it informs the Consumer and proposes a new delivery date. If the new date is not acceptable, or if delivery is not made within 30 days of the conclusion of the contract, the Consumer may cancel the order for the undelivered Products and receive a full refund of the amounts paid for them within 14 days.
7.4 Neoderma may deliver an order in several consignments where Products have different availability. No additional delivery costs are charged for partial deliveries.
7.5 The risk of loss of or damage to the Products passes to the Consumer when the Consumer, or a third party designated by the Consumer other than the carrier, takes physical possession of the Products.
7.6 If a delivery fails because the address is incorrect or incomplete, or because the Consumer does not collect the parcel within the period allowed by the carrier, and the parcel is returned to Neoderma, Neoderma will contact the Consumer to arrange redelivery. Neoderma may charge the cost of redelivery where the failure is attributable to the Consumer.
7.7 The Consumer should inspect the parcel on receipt and report visible transport damage to Neoderma at contact@neoderma.ch within a reasonable time, where possible with photographs, so that Neoderma can pursue the matter with the carrier. Failure to do so does not affect the Consumer's rights under Article 12.
Article 8 — Customs duties and import taxes
8.1 Where the checkout displays duties and import taxes for the Consumer's destination, these are included in the total price and the Consumer owes nothing further on delivery.
8.2 Where the checkout does not display duties and import taxes for the destination, the Consumer is responsible for any import VAT, customs duties, excise and carrier handling fees levied in the country of delivery. These charges are not within Neoderma's control and are not refunded if the Consumer refuses delivery.
8.3 The Consumer is the importer of record for deliveries under Article 8.2 and authorises the carrier to complete customs formalities on their behalf.
Article 9 — Right of withdrawal
9.1 The Consumer may withdraw from the contract within 30 days without giving any reason. For Consumers habitually resident in the European Union or the European Economic Area, this period includes and exceeds the statutory 14-day right of withdrawal. For all other Consumers, including those resident in Switzerland, Neoderma grants this right voluntarily on the same conditions.
9.2 The withdrawal period ends 30 days after the day on which the Consumer, or a third party designated by the Consumer other than the carrier, takes physical possession of the Products. Where an order is delivered in several consignments, the period ends 30 days after the day on which the last consignment is received.
9.3 To exercise the right of withdrawal, the Consumer must inform Neoderma of the decision by an unambiguous statement before the withdrawal period ends, by email to returns@neoderma.ch or by post to the address in Article 2, stating the order number. The Consumer may use the model withdrawal form in the Annex, but is not obliged to. Neoderma acknowledges receipt of the withdrawal by email without delay and provides a prepaid return label and return instructions. Where a collection service is available for the Consumer's address, Neoderma may offer collection of the parcel instead.
9.4 Products must be returned unopened and unused, with all seals intact, in their original packaging, together with all accessories, samples and gifts supplied with the order. Where the statutory right of withdrawal applies and a Product is returned in a condition that does not meet these requirements, Neoderma may deduct from the refund the diminished value resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the Product.
Article 10 — Exclusion of the right of withdrawal
10.1 The right of withdrawal does not apply to Products that are sealed for reasons of health protection or hygiene and whose seal has been broken after delivery. All Neoderma skincare Products are sealed; a Product whose protective seal, cap seal or outer wrapping has been opened or removed cannot be returned.
10.2 The right of withdrawal also does not apply to Products made to the Consumer's specifications or clearly personalised, and to Products that deteriorate rapidly or whose expiry date has passed.
10.3 Products purchased from a retailer, professional partner or other third party must be returned to that seller and cannot be returned to Neoderma.
Article 11 — Effects of withdrawal
11.1 The Consumer must send the Products back without undue delay and in any event within 14 days of the day on which the withdrawal was communicated, using the prepaid return label provided by Neoderma, to the return address stated in the return instructions:
(a) for Consumers resident in Switzerland or Liechtenstein: Neoderma Switzerland GmbH, Grabenstrasse 3, 6300 Zug, Switzerland, unless the return instructions designate another address in Switzerland;
(b) for all other Consumers: Neoderma Global Limited, 69 Vithleem Street, Strovolos, 2033 Nicosia, Cyprus.
The deadline is met if the Products are handed to the carrier, or collected, before the 14 days expire.
11.2 Neoderma bears the cost of returning the Products where the prepaid return label or the collection service is used, and the risk of loss or damage in transit passes to Neoderma when the Products are handed to the carrier. Where the Consumer chooses another method of return, the Consumer bears its cost and the risk in transit.
11.3 Neoderma refunds all payments received from the Consumer for the withdrawn Products, including the cost of standard delivery, without undue delay and in any event within 14 days of the day on which Neoderma is informed of the withdrawal. Neoderma may withhold the refund until it has received the Products back or the Consumer has supplied proof of having sent them, whichever is earlier.
11.4 The refund is made to the payment method used for the original transaction, unless the Consumer expressly agrees otherwise. No fee is charged for the refund.
11.5 If the Consumer chose a delivery method more expensive than the standard delivery offered by Neoderma, the additional cost is not refunded.
11.6 Gifts with purchase, samples and promotional Products supplied with the order must be returned together with the withdrawn Products. Where they are not returned, Neoderma may deduct their full stated value from the refund. Where a discount applied to the whole order, the refund is calculated on the amount actually paid for the withdrawn Products.
Article 12 — Warranty for defects
12.1 Neoderma warrants that the Products conform to the contract, to the description on the Website and to the requirements of the applicable legislation at the time of delivery. A Product is not defective merely because its packaging differs from the image on the Website, or because of natural changes in colour, texture or scent after opening within the period-after-opening indicated on the packaging.
12.2 The warranty period is two years from delivery. This period cannot be shortened for Consumers.
12.3 The Consumer must notify Neoderma of a defect at contact@neoderma.ch without undue delay after discovering it, describing the defect and stating the order number. A notice given within 14 days of discovery is in any event timely. Neoderma may ask for photographs or for the Product to be returned for inspection; Neoderma bears the cost of return where the defect is confirmed.
12.4 Where a defect is confirmed, Neoderma will at its option replace the Product with a conforming one or refund the price paid for it. If replacement is not possible or would be disproportionate, Neoderma refunds the price. Any further statutory remedies of the Consumer remain unaffected.
12.5 The warranty does not cover defects or damage caused by improper storage, use contrary to the instructions, normal wear, or modification of the Product by the Consumer or a third party.
12.6 Mandatory warranty rights of the Consumer under the law of the country of their habitual residence remain unaffected.
Article 13 — Liability
13.1 Neoderma is liable without limitation for damage caused intentionally or by gross negligence, for personal injury, and under the applicable product liability legislation.
13.2 In all other cases, Neoderma's liability is limited to the foreseeable damage typical for this kind of contract and to the price paid for the Products concerned. Neoderma is not liable for indirect or consequential loss, loss of profit or loss of data.
13.3 To the extent permitted by law, Neoderma is not liable for the conduct of auxiliary persons and subcontractors, including carriers, except where Article 13.1 applies.
13.4 The limitations in this Article do not apply where they would conflict with mandatory law protecting the Consumer.
Article 14 — Retention of title
The Products remain the property of Neoderma until the price has been paid in full.
Article 15 — Promotions, discount codes and gifts
15.1 Discount codes and promotions are subject to the conditions stated when they are offered, including any validity period, minimum order value and exclusions. Unless otherwise stated, only one code may be used per order and codes cannot be combined, exchanged for cash or applied to previous orders.
15.2 Gifts with purchase and samples are supplied free of charge, while stocks last, and carry no separate warranty beyond that required by law. Article 11.6 applies on withdrawal.
15.3 Neoderma may cancel a promotion at any time for future orders and may cancel orders placed in abuse of a promotion, in particular through multiple accounts or codes not intended for the Consumer.
Article 16 — Data protection
Neoderma processes personal data in accordance with the Swiss Federal Act on Data Protection, the General Data Protection Regulation where applicable, and its Privacy Notice, available on the Website. The Privacy Notice describes what data is processed, for which purposes, which service providers are involved, and the rights of the Consumer.
Article 17 — Intellectual property
17.1 The Website and its content, including texts, images, videos, logos, product names, the NEODERMA and AirExo-G marks, and the design of the Products and packaging, are protected by intellectual property rights belonging to Neoderma or its licensors.
17.2 The Consumer may view and download content from the Website for personal, non-commercial use only. Any other reproduction, distribution or use requires Neoderma's prior written consent.
Article 18 — Complaints
18.1 Complaints about Products or about the performance of the contract may be addressed to contact@neoderma.ch or to the postal address in Article 2. Neoderma acknowledges complaints within 14 days of receipt and aims to resolve them within a further 14 days; where more time is needed, Neoderma informs the Consumer of the expected timeframe.
18.2 Neoderma is not obliged to participate in alternative dispute resolution proceedings before a consumer arbitration body, but will consider any proposal for amicable settlement.
Article 19 — Force majeure
Neoderma is not liable for delay or failure to perform caused by events outside its reasonable control, including natural disasters, epidemics, strikes, transport disruption, failure of carriers or suppliers, governmental measures, or failure of telecommunications networks. Neoderma informs the Consumer of such an event and its expected duration. If the event lasts more than 30 days, either party may cancel the affected order and any amounts paid are refunded.
Article 20 — Amendments
Neoderma may amend these Terms at any time. The version in force at the time an order is completed applies to that order. The current version is always available on the Website and shows its effective date.
Article 21 — Final provisions
21.1 If any provision of these Terms is or becomes invalid or unenforceable, the remaining provisions remain in force. The invalid provision is replaced by the valid provision that comes closest to its economic purpose.
21.2 Neoderma may assign its rights and obligations under the contract to a company of its group, provided the rights of the Consumer are not reduced. Neoderma informs the Consumer of any such assignment.
21.3 Communications between Neoderma and the Consumer are made by email to the address stated in the order, unless these Terms require another form.
Article 22 — Governing law and jurisdiction
22.1 These Terms and every contract concluded under them are governed by Swiss substantive law, excluding the United Nations Convention on Contracts for the International Sale of Goods.
22.2 This choice of law does not deprive the Consumer of the protection afforded by mandatory provisions of the law of the country in which the Consumer has their habitual residence.
22.3 The courts of Zug, Switzerland, have jurisdiction over disputes arising from these Terms or a contract concluded under them. A Consumer may also bring proceedings before the courts of their place of domicile or habitual residence, and Neoderma may bring proceedings against a Consumer only before those courts, where mandatory law so provides.
